Sunstone Hotel Investors, Inc. (NYSE: SHO) announced today that it was informed that SGP/SHO Hotel Trust had priced an offering of 4,044,000 shares of its common stock that were previously registered by the Company's shelf registration statement that was filed with the U.S. Securities and Exchange Commission on October 27, 2004 and subsequently amended and declared effective by the SEC. The Company will not receive any of the proceeds from the offering. Merrill Lynch & Co. is acting as sole book-running manager and sole underwriter for this offering.
